Research on Protection of Minority Shareholders Rights Based on Company Law Perspective
The original company law in China didnt state how to protect minority shareholders rights and benefits and the ways of remedies so that their rights and benefits are invaded by majority shareholders in enterprise practice. The new company law was revised in 2005 and it emphasized the protection of minority shareholders, but the phenomenons of majority shareholders invade minority shareholders rights and benefits are still existent in enterprise practice. The paper concerns about the status quo of the protection of minority shareholders rights and benefits and explores the measures to protect the minority shareholders through the use of prescription studies.The conclusion part for the paper analyzes the specific measures on protection of minority shareholders rights and benefits based on company law perspective and the purpose of the paper is to enrich the achievement in such field in China.
