On the Role of Organ Dispute Resolution Mechanism Transplant on Improving Chinas Corporate Supervisory Mechanism
The serious lack of supervisory mechanism in Chinese companies results in serious insider control. The interests of minority shareholders are often seriously damaged by the controlling shareholder. By introducing organ dispute resolution mechanism in German Corporate Law to reconstruct internal corporate governance structure,merge the dual track system into unitary supervisory system and give the Board of Supervisors the right of action within a certain range,Separation of Powers can be truly realized and important system for rational distribution of rights within the Company can be built.
