Corporate Strategy, Cognition of Outside Director and Board Structure

摘要：

Board structure is an important factor of board governance and the focus to solve the problem of corporate governance. This paper use Principal-agent Theory and Game Theory to construct the optimal corporate board structure model and do research on the interaction mechanism between the optimal board structure and efficiency of board governance according to corporate strategy and cognition of outside director. Then we complete the mechanism of corporate governance and raise some advices for the construction of the board and improving the efficiency of board governance.
