In the environment of the competitive market,the debt-equity swap enterprises need to systematically think about some issues which can not be ignored when conducting strategic reorganization.In this paper issues related to debt-equity swap are discussed.If these issues are dealt with appropriately,profitability and value creation will be improved greatly.
