摘要：

The paper carried out a detailed review of this international M & A case of Yanzhou Coal Mining Company Limited acquiring the Australian Felix Resources Limited. According to the concepts of cross-border mergers and acquisitions and the characteristics of the risk, the paper identified the risk factors in the M & A process, and hopefully played a certain reference for energy companies in the future cross-border mergers and acquisitions.
