System Design on Safeguard Mechanism of Independent Right Ezecution of Independent Director

摘要：

Safeguarding independent directors independency is the base and premise of executing independent director function. The article first analyzes the motivation of listed company executing independent director system in our country; then analyzes the content and present barriers of the independent director executing rights; last, standing on the point of administration science and organizational behavior science, gives several tragedies and advices on how to ensure independent director right performance of six aspects, such as election improvement, payment method, rate and job duty of independent director.
