The Mode of Capital Pool Company: A New Choice of Overseas Public Financing for Chinese SMEs

Overseas financing is the feasible way for the SMEs with good development prospect to solve the problem of financial difficulty, but the key problem is to find the best route or the best mode. This paper introduces a new o-verseas listing mode-the Capital Pool Company Program, which is an innovative financing vehicle for growth-oriented companies, it provides an interesting alternative to the more traditional initial public offering (IPO). Although this mode was just open to China in 2006, it has been operating for over 20 years in Canada. It is an innovative combination of venture and reverse takeover. It has the advantages of the two concurrently and offers a practical and cost effective solution for growth-oriented companies searching for new capital to finance their operations or seeking to go public. It can help the listed company to attract a large number of investors with abundant experience of financial market. This mode has become a serious alternative to angel investors and venture capitalists as a means of funding Canadas growth businesses. In this paper, CPCs Benefits for SMEs are analysed and ways to Go Public Financing on the TSX-V for SMEs are introduced.
