Empirical Study on the Relationship between Boards of Directors and Other Internal Governance Mechanisms in China

In this study, we empirically examine the relationship between the board of directors and other internal governance mechanisms for Chinese listed companies, namely ownership structure, managerial sharehold ings and supervisory board behaviors. Our empirical results indicate that the degree of the fight for corporate control among large shareholders is negatively related to the ratio of independent directors. We have also found that the frequency of annual supervisory board meetings is positively related to the ratio of independent directors; however, managerial shareholdings have no significant effect on board composition.
