Analysis and Rating on Independence and Effectiveness of Board of Directors Governance of Commercial Banks
In this paper,we carry out an analysis of the independence and effectiveness of Chinese commercial banksboards which is based on relative principles,guidance and regulations suggested by OECD,Basle Committee on Banking Supervision and China Banking Regulatory Commission,and therefore develop 38 key indices as to evaluate the independence and effectiveness of commercial banksboards.We find that the independence of independent directors,the independence of the executive committees and the proportion of independent directors in the board represent the three main aspects of the independence and effectiveness of commercial banksboards.Further,we find that the independence and effectiveness of commercial banks are ensured by a standardized mechanism for appointing independent directors and executive committees and a well-organized system that clarifies rights and liabilities of independent directors and executive committees.
