The Study on Preconditions of Investor s Role in Corporate Governance

摘要：

In this paper,the author presnets a interest-risk framework based on the conception that the government is a especial interest entity instead of an economic entity．In the opinion of author,fiscal risk emerges when the especial interest develops into enterprise groups risk．The enterprises must have self-determination and completed nature，if the investor plans to play an active role in corporate governance of state-owned enterprises．However,the investor could not resist the bad influences from government on corporate governance of state-owned enterprises when government controls almost the resources．
