Three Dimension Independence of Independent Directors Choose Mechanism in Fund Management Company

摘要：

In order to reduce interest conflict between shareholders and managers,there is independent directors mechanism in Americans corporate governance.It can oversee the management by a third party.In this paper,we concern the two particularities of fund management companies in China;one is zero-sum game between fund bailers and agents,the other is the wrong role of independent directors.We give our advice in three respects to maintain the independence of the independent directors,the scale dimension,the capacity dimension and the willingness dimension.Try to establish an independent directorsintermediary market which can maintain the independent directorsindependent capacity and willingness.
